Terms of Service

1. Acceptance of Terms
By accessing or using the Magana AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Service description
Magana AI provides a platform for building, deploying, and analysing AI-powered voice agents ("Agents") that can handle telephone calls. The Service includes access to our web dashboard, API, phone number provisioning, and related infrastructure.
3. Account responsibilities
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate billing and contact information.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorised access to your account.
4. Acceptable use
You may not use Magana to:
- Make calls that violate Nigerian Communications Commission (NCC) regulations or applicable law
- Send unsolicited communications (spam calls) to recipients who have not consented
- Impersonate a person or entity in a misleading or deceptive manner
- Collect personal data from callers without appropriate disclosure and consent
- Use the platform for any unlawful, harmful, or fraudulent purpose
- Attempt to circumvent rate limits, security controls, or access restrictions
5. Billing and payment
Subscription fees are billed monthly in advance in NGN (via Paystack) or USD (via Stripe). Per-minute usage is billed in arrears at your plan rate. We reserve the right to suspend your account for non-payment after 7 days' notice.
Refunds are not provided for monthly subscription fees already charged. Per-minute usage fees are not refundable. If you believe there is an error in your billing, contact us within 30 days.
6. Data and privacy
Your use of the Service is governed by our Privacy Policy. You retain ownership of all call data, transcripts, and content processed through the platform. You grant us a limited licence to process this data solely to provide the Service.
As an operator, you are the data controller for personal data collected from your callers. You are responsible for complying with NDPR and obtaining necessary consents before recording or processing caller personal data.
7. Intellectual property
Magana AI and its licensors own all intellectual property rights in the platform, including software, design, and trademarks. Nothing in these Terms grants you any right to our intellectual property except the limited licence to use the Service.
8. Service availability
We aim for 99.9% uptime on Enterprise plans and commercially reasonable uptime on other plans. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control (including third-party infrastructure providers).
9. Limitation of liability
To the maximum extent permitted by Nigerian law, Magana AI's total liability for any claim arising from your use of the Service is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
10. Termination
Either party may terminate these Terms with 30 days' written notice. We may terminate immediately for material breach (including violation of the acceptable use policy). On termination, your access is revoked and your data will be deleted after 30 days.
11. Governing law
These Terms are governed by Nigerian law. Any disputes arising from these Terms shall be resolved by the courts of Lagos State, Nigeria.
12. Changes to Terms
We may update these Terms from time to time. We'll notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
